Welcome to Kuku. By accessing or using our services, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By downloading, installing, or using Kuku ("Service," "Application," or "App"), you agree to these Terms. If you do not agree, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

Kuku is a local-first markdown editor for macOS that provides:

  • — Markdown document editing and management
  • — Bidirectional linking and knowledge graph visualization
  • — AI-powered writing assistance (requires API key)
  • — Local speech-to-text transcription
  • — Full-text search capabilities

The Service is provided by askitmore co., ltd ("Company," "we," "our," or "us").

3. Account Registration

3.1 Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you must have parental or guardian consent.

3.2 Account Security

You are responsible for:

  • — Maintaining the confidentiality of your account credentials
  • — All activities that occur under your account
  • — Notifying us immediately of any unauthorized access

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

4. User Content

4.1 Ownership

You retain full ownership of all content you create, upload, or store using the Service ("User Content"). Kuku does not claim any ownership rights to your User Content.

4.2 Local Storage

Your documents are stored locally on your device as plain markdown files. We do not have access to your local files.

4.3 AI Features

When you use AI features:

  • — Relevant content is sent to third-party AI providers (Google Gemini) for processing
  • — You are responsible for ensuring your content complies with the AI provider's terms
  • — AI-generated content is provided "as is" without guarantees of accuracy

4.4 Prohibited Content

You agree not to use the Service to create, store, or transmit content that:

  • — Violates any applicable law or regulation
  • — Infringes on intellectual property rights of others
  • — Contains malware, viruses, or harmful code
  • — Is defamatory, obscene, or promotes violence
  • — Violates the rights of any third party

5. Subscription and Payment

5.1 Merchant of Record

Our paid subscriptions are processed by Polar.sh ("Polar"), who acts as the Merchant of Record for all transactions. This means:

  • — When you purchase a subscription, you are legally purchasing from Polar, not directly from askitmore co., ltd
  • — Polar is responsible for payment processing, invoicing, and handling sales tax/VAT
  • — Polar's Terms of Service apply to all purchases
  • — Your payment information is collected and processed by Polar, not by us

5.2 Free and Paid Plans

The Service offers both free and paid subscription plans. Features and usage limits vary by plan.

5.3 Billing

  • — Paid subscriptions are billed in advance on a monthly or annual basis
  • — All fees are displayed inclusive of applicable taxes
  • — Polar will charge your selected payment method automatically for recurring subscriptions

5.4 Refund Policy

  • — Refund requests must be submitted within 14 days of purchase
  • — Refunds are processed by Polar and subject to their refund policies
  • — To request a refund, contact support@kuku.mom or Polar directly

5.5 Price Changes

We may change subscription prices with 30 days' notice. Price changes will take effect at your next billing cycle.

5.6 Cancellation

  • — You may cancel your subscription at any time through your account dashboard or by contacting support
  • — Cancellation takes effect at the end of the current billing period
  • — You retain access to paid features until the end of your billing period
  • — No partial refunds are provided for unused portions of a billing period

5.7 Failed Payments

If a payment fails, Polar may retry the charge according to their policies. Continued payment failure may result in subscription suspension.

6. API Keys and Third-Party Services

6.1 Your API Keys

Certain features require you to provide your own API keys (e.g., Google Gemini API). You are responsible for:

  • — Obtaining API keys in compliance with the provider's terms
  • — Securing your API keys
  • — Any charges incurred from your API usage

6.2 Third-Party Terms

Your use of third-party services through Kuku is subject to those services' terms and privacy policies:

  • Google Gemini: Google Terms of Service
  • Polar: Polar Terms of Service

We are not responsible for third-party services.

7. Intellectual Property

7.1 Our Rights

Kuku and its original content, features, and functionality are owned by askitmore co., ltd and are protected by copyright, trademark, and other intellectual property laws.

7.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal or internal business purposes in accordance with these Terms.

7.3 Restrictions

You may not:

  • — Copy, modify, or distribute the Application
  • — Reverse engineer, decompile, or disassemble the Application
  • — Remove any proprietary notices or labels
  • — Use the Service for any illegal purpose
  • — Sublicense, sell, or transfer your rights to the Service

8. Disclaimers

8.1 "As Is" Basis

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • — NON-INFRINGEMENT
  • — ACCURACY OR RELIABILITY OF CONTENT

8.2 AI-Generated Content

AI features may produce inaccurate, incomplete, or inappropriate content. You are solely responsible for reviewing and verifying AI-generated content before use.

8.3 Data Loss

While we strive for reliability, we do not guarantee against data loss. You are responsible for maintaining backups of your local files.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • — WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • — OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
  • — WE ARE NOT LIABLE FOR ANY LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES

10. Indemnification

You agree to indemnify, defend, and hold harmless askitmore co., ltd and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • — Your User Content

11. Termination

11.1 By You

You may stop using the Service and delete your account at any time.

11.2 By Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including if:

  • — We are required to do so by law
  • — We discontinue the Service

11.3 Effect of Termination

Upon termination:

  • — Your license to use the Service ends immediately
  • — Your local files remain on your device
  • — We may delete your account data after a reasonable period
  • — Active subscriptions will be cancelled (no refund for remaining period unless required by law)

12. Governing Law and Disputes

12.1 Governing Law

These Terms are governed by the laws of the Republic of Korea, without regard to conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

  1. Good faith negotiation
  2. Mediation
  3. Binding arbitration in Seoul, Korea

12.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and askitmore co., ltd regarding the Service.

13.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

13.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver.

13.4 Assignment

You may not assign your rights under these Terms. We may assign our rights without restriction.

13.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
